SEASON TICKET SUBSCRIPTION TERMS AND CONDITIONS
ALL PAYMENTS AND DEPOSITS ARE NON-REFUNDABLE
These Season Ticket Subscription Terms and Conditions ("Terms and Conditions") govern the purchase by the person or entity identified as the Season Ticket account holder ("you") of season tickets ("Season Tickets") for those certain seats ("Seats") designated in the attached invoice ("Invoice") for Boston Bruins games ("Games") at the TD Garden. By payment of any deposit or amount set forth in the Invoice, you hereby accept and agree to be bound by these Terms and Conditions, which constitute an agreement between you and Boston Professional Hockey Association, Inc. ("BPHA").TERMS AND CONDITIONS
Revocable License. Subject to these Terms and Conditions and your payment of amounts immediately due on the Invoice, you will have a personal, revocable license to purchase and use Season Tickets. Use of the Season Tickets and attendance at any Game are also governed by (i) the terms and conditions set forth on the individual Game tickets ("Ticket Policies"), (ii) TD Garden policies, including security, alcohol and appropriate conduct policies ("TD Garden Policies"), and (iii) applicable law.Payment. You agree to pay in full the amounts set forth on the Invoice and any subsequent Invoices by the date such payments are due.
No Refunds. All sales of Season Tickets are final. All payments and deposits are non-refundable. No refunds or exchanges of Season Tickets will be made.
2013-2014 Season. Your license to purchase and use Season Tickets is effective upon payment of amounts in the Invoice and applies to the Games comprising the NHL regular season that starts in September 2013 and ends in April 2014 ("2013-2014 Regular Season").
2013-2014 Playoff games. If you are in good standing under these Terms and Conditions and are current and fully paid up with respect to your Season Tickets for all Games in the Regular Season, you will be provided with the opportunity to purchase tickets to use the seats at NHL Playoff Games for the 2013-2014 Regular Season. If it appears that the Bruins are likely to qualify for postseason play, you will be notified with the terms of any such purchase, including applicable prices, deposits and/or deadlines. Any such purchase will be solely only on the terms offered, which may include higher per-Seat prices, the payment of a deposit, or terms which are in addition to or different from these Terms and Conditions. If you decline, or do not meet any applicable purchase deadlines or requirements, the Seats may be offered to third parties or the general public for any playoff Games for the 2013-2014 Season.
Next Season. If you are in good standing under these Terms and Conditions and are current and fully paid up with respect to your Season Tickets for all Games in the 2013-2014 Regular Season, you will be provided with the opportunity to purchase Season Tickets for the 2014-2015 NHL Regular Season. The purchase terms for Season Tickets for the 2014-2015 NHL Regular Season may change, including prices, deposits, restrictions, payment plans, Game packages and/or deadlines. Any such purchase of Season Tickets for the 2014-2015 NHL regular season will be subject to and in accordance with the purchase terms applicable to that season. BPHA will use reasonable efforts to offer you the same Seats as your Season Tickets for the 2013-2014 NHL regular season, but BPHA expressly reserves the right at its discretion to change the number or location of Seats or to decline to sell you Season Tickets for the 2014-2015 NHL Regular Season.
Termination. Your license and other benefits under these Terms and Conditions, including the license to purchase and use Season Tickets and the opportunity to purchase and use playoff tickets for the Seats, may be terminated immediately without notice in the event that (i) you breach these Terms and Conditions, including your non-payment of any invoiced amounts when due, (ii) you or anyone using the Seats engages in inappropriate or improper conduct, or violates or breaches any Ticket Policy or TD Garden Policy, (iii) you or anyone using the Seats violate applicable laws or regulations related to the Tickets or attendance of Games, and/or (iv) you attempt to assign or transfer any rights or benefits with respect to your Season Ticket account to anyone else without the prior written approval of BPHA.
Lost or Stolen Tickets. You are solely responsible for lost or stolen tickets. The risk of loss passes to you once the tickets are printed or forwarded via Account Manager, picked up at the TD Garden Box Office or sent via US mail addressed to you as set forth on the Invoice. Please store your tickets in a safe place. BPHA may at its sole discretion issue substitute tickets for lost or stolen tickets, but is under no obligation to do so. The only tickets honored will be those that carry the proper date and game designation.
Tickets. You may not transfer, resell, or assign to anyone else (i) your license to purchase Season Tickets, (ii) any opportunity to purchase tickets to playoff Games, or (iii) any other benefit related to Season Tickets. The Season Tickets are revocable licenses and may be revoked at BPHA’s discretion. These Terms and Conditions do not confer any property right to you. You hereby acknowledge that BPHA may cancel or revoke tickets for certain conduct including, but not limited to, (i) any form of fraudulent activity; (ii) the purchase of tickets for the purpose and intent of reselling the tickets on the secondary market; and (iii) use of tickets for sweepstakes, contests, and/or promotions without the prior written consent from BPHA.
Responsibility. You as the Season Ticket holder will be responsible for any liability or damages caused by your conduct or the conduct of anyone else using the applicable Seats. Inappropriate behavior, improper conduct or violations of law by anyone using such Seats at Games will be deemed to be a breach of these Terms and Conditions by you, and may result in the termination of your license to purchase and use Season Tickets, including the cancellation of tickets already issued to you, and the denial of any opportunity to purchase tickets for the Seats for playoff Games.
Season Ticket Account. Only the person or company named on the Invoice is allowed to conduct transactions involving the Season Tickets. BPHA retains the exclusive right to settle, in its sole discretion, any and all disputes concerning the identity of the Season Ticket holder of record. Changes to account information, including the identity, credit card information and/or address of the Season Ticket account holder, are at the discretion and subject to the requirements of BPHA.
Reservation of Rights. BPHA expressly reserves the right to (i) change any Ticket Policy or TD Garden Policy at any time and for any reason; (ii) change any of these Terms and Conditions, Season Ticket prices or other policies, playoff terms and conditions, and terms of purchase for subsequent seasons at any time and for any reason; (iii) apply changes differently to different persons or entities, including persons who resell or offer for resale tickets (whether licensed to do so or not); and (iv) charge an administrative fee in connection with any change in Season Ticket holder account information.
Governing Law. These Terms and Conditions are governed by Massachusetts law.
Changes to the Terms and Conditions. No change, waiver, modification or amendment of these Terms and Conditions will be effective unless set forth or approved in writing by the Executive Vice President, Sales and Marketing, of BPHA.
